Vice President – Group Corporate Counsel and Group Compliance

POSITION SUMMARY

The VP Legal and Compliance position is responsible for leading corporate strategic and tactical legal initiatives, compliance and risk mitigation. The role provides senior management with effective advice on company strategies and their implementation, manages the Legal and Compliance functions, and obtains and oversees the work of outside counsel. The position is directly involved in complex business transactions and negotiating critical contracts. 

KEY RESPONSIBILITIES

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.

Provides legal entity oversight and management – 35 legal entities within our group and will include some interaction with Board of Directors.

Provide vendor contract and agreement review

Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.

Manage all non-Claims related litigation – leads extra contractual and corporate litigation.

Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC et al. laws and regulations.

Provides Human Resources with employment counsel

Responsible for  maintaining relationships with insurance industry regulatory entities and ensuring compliance and maintains all regulatory filings

Leads the Group Compliance function, which includes a Director of Compliance and 5 staff members.  Team is focused on Department of Insurance compliance, reporting, and all product filings.

In partnership with Chief Actuary and Internal Audit, manage the Enterprise Risk Management assessment.

Serve as the Group Insurance Buyer for all insurance programs.

Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.   Will be responsible for development of Sales and Purchase Agreement.

Counsel to CEO and senior leadership team.

Participates in the selection, retention, management and evaluation of all outside counsel.

Advises on legal aspects related to the company’s structure - advising on current and future business structures and legal entities.

QUALIFICATIONS [SKILLS & EXPERIENCE]

Law degree and Admitted to the bar

Minimum of 10 years’ of related experience, with 5 in a leadership role

Senior leadership and management skills developed and tested within a specialty insurance enterprise of similar size, scale and complexity

Demonstrated experience leading and managing Legal and Compliance teams

Experience with cost-effective management of outside legal resources

Strong leadership capabilities with proven ability to foster an environment of positive employee engagement and trust.  Demonstrated ability to establish credibility, coupled with the ability to recognize and support the organization’s preferences and priorities

Experience interacting with and/or managing Board operations, including the preparation materials for Board meetings; influencing the structure of agendas; and advising on various issues such as corporate governance and fiduciary duties, ethics and compliance, and strategic transactions

Focus on talent selection and building a high-performance culture

Strong influencing and negotiation skills; consultative and collaborative leadership style; ability to develop and maintain effective relationships across the enterprise to drive required results
